1. About these Terms
Dirol Labs Inc. (“Dirol”, “we”, “us”), registered at Oceania Business Plaza, Torre 1000, 21st Floor, Isaac Hanono Missri Street, Punta Pacifica, Panama City, Republic of Panama, provides the website at dirol.io, the web app at social.dirol.io and the Dirol Social app for iOS (together, the “Services”). These Terms govern your use of the Services. You accept them when you create an account or use a trading feature. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal data.
2. Eligibility
You must be at least 18 years old, meet any higher minimum age that applies to you, and have the authority to use the account and assets involved. Do not use a feature where it is unlawful, or where sanctions, regional restrictions or provider requirements prohibit access. Give accurate information. Do not use a VPN, a proxy, another person or false details to get around a restriction.
3. What Dirol is and is not
Dirol is software: a non-custodial wallet interface, a trade aggregator on the Monad network and a social feed. Dirol is not a bank, broker, custodian or investment adviser. The Services do not sell digital assets for money and have no in-app purchase of digital assets. You fund your wallet by sending tokens on the Monad network from another wallet or an exchange. Trades execute on-chain on Monad, and perps execute on Perpl.
4. Your account and Privy wallet
You sign in with Apple, Google, X or email through Privy, which provides the sign-in and embedded-wallet infrastructure. The wallet is non-custodial. Privy splits its private key into encrypted shares, and Dirol never holds or sees your private key. Key access and recovery depend on the methods Privy offers; recovery is not guaranteed.
When you submit a trade, you authorize its execution, the approvals it needs and the charges shown, within the parameters you select. When you turn on one-click trading, you sign a permission that lets our execution service submit your trades and orders without another confirmation, within the limits shown to you. Creating an account does not authorize unrelated transfers or investment decisions by Dirol.
Protect your sign-in accounts, devices and sessions. Never send private keys, recovery material or login codes to support or in a chat. Tell us promptly about suspected unauthorized access. Signing out does not reverse transactions, close positions or cancel open orders.
5. Funding, routing and execution
Use only the supported network and the address shown for your account. Tokens sent to a wrong address or network can be lost permanently. A wallet balance is not a bank deposit and has no deposit insurance.
Spot trades use our aggregator, which compares quotes from integrated sources. We do not compare every market and do not guarantee the best price. Quotes and balances can change or be delayed. Liquidity, price impact, slippage and network conditions affect execution. Check the token, amount, fees and settings before you submit. Transactions can fail or be delayed, a failed transaction can still cost network fees, and finalized transactions cannot be reversed.
6. Fees and taxes
The Dirol fee for a trade is shown before you submit it. Network fees, liquidity-provider fees, token fees and other execution costs can apply in addition. Perps also have Perpl trading fees, funding and liquidation costs. Fee changes apply only to later trades. A trading loss alone does not entitle you to a refund; this does not limit remedies for incorrect charges or rights the law gives you. You are responsible for your taxes and reporting.
7. Perpetual futures through Perpl
The app gives access to perpetual futures on Perpl, an independent exchange on Monad. Dirol does not operate Perpl and is not a party to your perps trades. Perpl’s terms and market rules set margin, funding, settlement and liquidation.
Perpetual futures are leveraged derivatives. They give price exposure, not ownership of the underlying asset. Leverage multiplies losses. You can lose all collateral in a position, and liquidation can happen without further confirmation. Fees and funding reduce collateral. An outage, low liquidity or a price-feed problem can stop you from closing a position. Orders and positions stay open after you sign out. Do not trade perps unless you understand these risks.
Perps are not available to people who live in or are located in the United States, to entities organized or registered there, or to anyone acting for them. Perps are also unavailable in other regions where local law or Perpl prohibits access, and the app restricts access there. A working screen or an invitation does not make you eligible.
8. Trading risks
Memecoins and other digital assets can lose all value, become impossible to sell, contain malicious code, or suffer liquidity removal and manipulation. Smart contracts, wallet infrastructure and networks can fail or be attacked. A token listing or chart is not an approval, audit or safety guarantee. Posts, rankings, quotes and performance figures are information, not personal investment, legal or tax advice, and they can be wrong or delayed. Past results do not predict future results. You make your own decisions. Use only funds you can afford to lose.
9. Your content and community rules
You are responsible for the posts, photos, comments and messages you submit, and you must have the right to share them. You keep your rights in your content. You give Dirol a non-exclusive, worldwide, royalty-free license to store, format and show it as needed to run and moderate the Services, for the audience you chose.
Dirol has zero tolerance for objectionable content and abusive users. Do not post or send:
- harassment, threats, hate speech or content that attacks people for who they are;
- sexual content, graphic violence, or any content that involves minors in a harmful way;
- scams, phishing links, fake giveaways, impersonation or requests for keys or login codes;
- market manipulation, unlawful promotions or undisclosed paid promotion;
- other people’s private information, or content that infringes their rights;
- spam or any other unlawful content.
You can report a post, comment, message or user in the app, and you can block a user so that you no longer see their content. We review reports within 24 hours. We remove content that breaks these rules and suspend or remove the accounts of users who post it. How to report and block is on our Support page.
10. Misuse and intellectual property
Do not use the Services for fraud, money laundering, sanctions evasion, market manipulation or attacks on users or systems. Do not bypass security controls, abuse rate limits or use another person’s credentials. Dirol and its licensors keep all rights in the Services, the Dirol brand and our software. You may use them only for their intended lawful purpose.
11. Availability, suspension and account deletion
We can maintain, change, suspend or end features for operational, security or legal reasons, and we can restrict or close an account for a material breach of these Terms. We give reasonable notice where we can and any notice the law requires. Privy, Perpl and other providers run separate services and can have outages.
You can delete your account in the app at any time. Deletion also deletes your Privy wallet, so withdraw all funds and close your orders and positions first. Funds left in a deleted wallet cannot be recovered by you or by us. Our Privacy Policy lists the data we delete and the records we keep.
12. Third-party services
The Services connect to services we do not control, including Privy, Perpl, Apple, Google, X and the Monad network. Their own terms apply to your use of them. Using a third-party provider does not remove the responsibility the law places on Dirol for its own conduct.
13. Liability
To the extent the law permits, the Services are provided “as is” and “as available”, without a guarantee of uninterrupted operation, successful execution or any financial result. We are not responsible only because an authorized trade loses value. To the extent the law permits, we exclude liability for indirect or unforeseeable loss. Nothing in these Terms excludes liability for fraud, deliberate misconduct, gross negligence, or any liability or consumer right that the law does not let us exclude.
14. Apple App Store terms
If you downloaded the iOS app from the App Store, these terms also apply:
- These Terms are between you and Dirol, not Apple. Dirol, not Apple, is responsible for the app and its content.
- Your license to the app is limited to use on Apple devices that you own or control, as the App Store Usage Rules allow.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet an applicable warranty, you can notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation for the app to the extent the law permits.
- Dirol, not Apple, handles any claims about the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection claims and intellectual property claims.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on a U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and can enforce them against you.
15. Changes, law and contact
We publish changes to these Terms on this page with a new effective date and tell you about material changes before they apply. Where the law requires, we ask you to accept them again. Changes do not affect completed transactions. If a provision is unenforceable, the rest still applies.
These Terms are governed by the laws of the Republic of Panama. This does not remove mandatory consumer protections of the country where you live. These Terms do not impose mandatory arbitration.
